Sweet Dill Terms of Service

Please read these terms of service carefully as they contain important information regarding your legal rights, remedies, and obligations. If you reside in the United States, please note that these terms of service contain an arbitration clause and class action waiver. It affects how disputes with Sweet Dill are resolved. By accepting these terms, you agree to be bound by this arbitration provision. Please read it carefully. If you do not wish to be subject to arbitration, you may opt out of the arbitration provision by following the instructions provided in the arbitration provision below.

Overview

Sweet Dill (or "we", "us" or "our") provides a browser extension and related services that help online shoppers access historical price data and alternative purchasing options for products across supported online retailers. Our platform (the "Platform") includes our browser extension, website, and any related applications we may develop (collectively, the "Services").

We sometimes refer to those who use or access our Platform or Services as "Users", and "your" or "you", as the context may require. If you access the Platform or use the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that legal entity and, in such event, "your" or "you" means that legal entity.

Acceptance of Terms

By installing the Sweet Dill extension or using any of our Services, you agree to be bound by the following terms and conditions ("Terms of Service" or "Terms") and our Privacy Policy. Please read these Terms and our Privacy Policy carefully. Our Privacy Policy is incorporated by reference into these Terms. If you do not agree to these Terms, including our Privacy Policy, you have no right to obtain information from or otherwise continue using our Platform or Services.

Modification

Sweet Dill reserves the right, at its sole discretion, to modify or discontinue, temporarily or permanently, the Platform, Services or to modify these Terms at any time and without prior notice. If we modify these Terms, we will post the modification on our website or within the extension interface. Modifications to these Terms will automatically take effect upon posting. By continuing to access or use the Platform or Services after we have posted a modification, you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease accessing or using the Platform and Services.

Eligibility

By using or accessing our Platform, you represent that you are at least the age of majority in your country, state or province of residence, or that you are the age of majority in your country, state or province of residence and you have given us your consent to allow any of your minor dependents to use the Platform. You are solely responsible for ensuring that the use of the Platform and Services in accordance with these Terms in your jurisdiction of residence is permitted by all applicable laws and regulations.

Data Collection and Privacy

Browser Data Access

Our extension needs to access and process certain data from your browser to provide its core functionality. This includes but is not limited to:

  • URL data from retail websites you visit
  • Product information (names, prices, images, etc.) from supported retail websites
  • Historical price data for products you view

Third-Party Data

Sweet Dill may obtain historical price data and alternative purchasing options from various third-party sources. While we strive to ensure the accuracy of this information, we cannot guarantee its completeness or reliability in all cases. You acknowledge that you use such information at your own risk.

User Conduct and Restrictions

Prohibited Uses

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws or regulations
  • Use any device, software, or routine that interferes with the proper working of the Services
  • Attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising the Services
  • Circumvent, disable, or otherwise interfere with security-related features of the Services
  • Use the Services to scrape, crawl, or spider any website beyond what is necessary for the proper functioning of the extension
  • Use the Services to collect or harvest any personally identifiable information

Intellectual Property Rights

Sweet Dill and its licensors exclusively own all right, title, and interest in and to the Platform and Services, including all associated intellectual property rights. You acknowledge that the Platform and Services are protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Platform or Services.

Disclaimers and Limitations of Liability

Price and Product Information Disclaimer

The price history information and alternative purchasing options provided through our Services are for informational purposes only. We cannot guarantee that:

  • All historical price data is complete or accurate
  • All alternative purchasing options displayed are up-to-date or available
  • Price comparisons reflect all available retailers or promotions
  • Product information extracted from retailer websites is always accurate

Retailer Relationships

Sweet Dill is not affiliated with or endorsed by any of the retailers whose websites are supported by our Services, including but not limited to Amazon, Walmart, Best Buy, and Target. All trademarks, service marks, and company names are the property of their respective owners.

Service Availability

We do not guarantee that the Services will be available at all times or that they will function without errors or interruptions. We reserve the right to suspend or terminate the Services at any time for any reason without notice.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SWEET DILL, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE PLATFORM OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SWEET DILL ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES IN ANY CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR PLATFORM OR SERVICES; (III) UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (IV) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM; (V) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR PLATFORM BY ANY THIRD PARTY; OR (VI) ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE PLATFORM.

Dispute Resolution Provision

General

Any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity, or to the use of the Platform or Services (collectively, "Disputes") will be settled by binding arbitration; except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of any intellectual property rights.

Arbitration Rules and Governing Law

The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the "AAA Rules") then in effect. The Federal Arbitration Act will govern the interpretation and enforcement of this section.

Arbitration Process

A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. The arbitrator will be either a retired judge or an attorney licensed to practice law and will be selected by the parties from the AAA's roster of consumer dispute arbitrators.

Arbitration Location and Procedure

Unless we mutually agree otherwise, the arbitration will be conducted in the county of your residence, or by video conference if available. If your claim does not exceed $10,000, then the arbitration will be conducted solely on the documents you and Sweet Dill submit to the arbitrator, unless you request a hearing, or the arbitrator determines that a hearing is necessary.

No Class Action

YOU AND SWEET DILL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Right to Opt Out of Arbitration and Class Action Waiver

You may opt out of the arbitration and class action/jury trial waiver provisions of these Terms by notifying us in writing within 30 days of the date you first installed the Sweet Dill extension. To opt out, you must send a written notification to us that includes (a) your name, (b) your address, (c) your telephone number, (d) your email address, and (e) a clear statement indicating that you do not wish to resolve claims through arbitration and demonstrating compliance with the 30-day time limit to opt out of the above arbitration and class action/jury trial waiver provisions.

Feedback and Reporting Issues

We welcome and encourage you to provide feedback, comments, and suggestions (collectively "Feedback") for improvements to the Platform or Services. You may submit Feedback by emailing us at support@thesweetdill.com. You acknowledge and agree that all Feedback will be the sole and exclusive property of Sweet Dill and you hereby irrevocably assign to Sweet Dill and agree to irrevocably assign to Sweet Dill all of your right, title, and interest in and to all Feedback, including without limitation all worldwide patent, copyright, trade secret, moral and other proprietary or intellectual property rights therein.

General

Our failure to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Sweet Dill. If for any reason an arbitrator or a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.

Notice to California Residents

If you are a California resident, under California Civil Code § 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite S-202, Sacramento, California 95834, or by telephone at (800) 952-5210 in order to resolve a complaint regarding the Platform or Services or to receive further information regarding use of the Platform or Services.

Entire Agreement

These Terms constitute the entire and exclusive understanding and agreement between Sweet Dill and you regarding the Services and supersede and replace all prior oral or written understandings or agreements.
